1. Acceptance of Terms

3. Service Agreement

3.1 Project Scope

Each project will be defined in a separate Statement of Work (SOW) or project proposal that outlines specific deliverables, timelines, pricing, and terms. The SOW, together with these Terms, constitutes the complete agreement between you and Genius Technologies.

3.2 Client Responsibilities

Clients agree to:

• • Ensure all provided materials do not infringe third-party rights
• • Designate a primary point of contact for the project
• • Make timely payments according to the agreed schedule

4. Payment Terms

4.1 Pricing and Invoicing

All prices are in Australian Dollars (AUD) unless otherwise specified. Invoices are due within 14 days of issue unless alternative terms are agreed in writing. Late payments may incur interest charges of 1.5% per month.

4.2 Project Deposits

Most projects require an upfront deposit before work commences. Typical deposit structure is 30-50% of total project cost, with remaining payments tied to project milestones.

4.3 Expenses

Additional expenses (third-party services, stock assets, hosting fees) not included in the original quote will be billed separately with prior approval.

5. Intellectual Property

5.1 Ownership Transfer

Upon full payment of all fees, you will own all rights to the final deliverables specifically created for your project. This includes custom code, designs, and content developed exclusively for you.

5.2 Pre-Existing Materials

Genius Technologies retains ownership of any pre-existing intellectual property, frameworks, libraries, and methodologies. You receive a license to use these as part of your project deliverables.

5.3 Portfolio Rights

We reserve the right to showcase completed work in our portfolio and marketing materials unless otherwise agreed in writing.

6. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of the project. This obligation survives termination of the agreement.

7. Warranties and Disclaimers

7.1 Our Warranties

We warrant that:

• • Services will be performed with reasonable care and skill
• • Work will be free from material defects for 30 days post-delivery
• • We have the right to provide the services

7.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT GUARANTEE SPECIFIC RESULTS FROM OUR SERVICES.

8. Limitation of Liability

To the fullest extent permitted by law, our total liability for any claims arising from services shall not exceed the total amount paid by you for the specific services that gave rise to the claim. We shall not be liable for any indirect, consequential, or punitive damages.

9. Termination

9.1 Termination by Client

You may terminate services with 14 days written notice. You will be responsible for payment for all work completed up to the termination date, plus any non-refundable expenses incurred.

9.2 Termination by Genius Technologies

We reserve the right to terminate services if you breach these Terms, fail to make timely payments, or engage in abusive behavior toward our team.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of services after changes constitutes acceptance of the modified Terms.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of New South Wales, Australia. Any disputes will first be attempted to be resolved through good-faith negotiations. If unresolved, disputes will be subject to the exclusive jurisdiction of the courts of New South Wales.

12. Indemnification

You agree to indemnify and hold harmless Genius Technologies from any claims, damages, or expenses arising from your use of our services, your breach of these Terms, or your violation of any third-party rights.

13. Force Majeure

Neither party will be liable for delays or failures in performance resulting from causes beyond reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, or government actions.

14. Entire Agreement

These Terms, together with any applicable SOW, constitute the entire agreement between you and Genius Technologies and supersede all prior agreements and understandings.
